Terms of Service

Last updated: May 17, 2026

These terms are provided as a working draft and should be reviewed by qualified counsel before being relied upon for live commercial relationships.

1. Agreement

By creating an account, accessing, or using the CDA Claims Intelligence service (the "Service") operated by Second Life Software Consulting on behalf of cdanalytics.ai ("we," "our"), you ("you," the "Customer") agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of the Service

The Service ingests email content from a connected Microsoft Outlook mailbox, uses third-party AI providers to analyze that content for potential construction contract claim triggers, references project specification documents you upload, and generates draft notices, reservation-of-rights language, and an issue log. All AI-generated content is advisory only and must be reviewed by a qualified person before any external use or reliance.

3. Accounts & Acceptable Use

4. AI Output Disclaimer

The Service produces AI-generated draft documents and risk flags using large language models. These outputs are provided as drafting aids only. They are not legal advice, are not guaranteed to be accurate, complete, or fit for any particular purpose, and must be reviewed by a qualified professional (e.g., a licensed attorney or contracts specialist) before being acted upon or transmitted to third parties. We disclaim all warranties, express or implied, regarding AI output, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law.

5. Payment Terms

Paid plans are billed monthly in advance through Stripe. By providing a payment method you authorize us and Stripe to charge the applicable subscription fees plus any taxes.

6. Customer Data & License

You retain all rights to the email content, contract specifications, and other data you submit ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free license to process Customer Data solely to operate the Service and to share it with the subprocessors listed in our Privacy Policy. We will not use Customer Data to train any third-party AI model.

7. Intellectual Property

The Service, including its source code, designs, and AI prompts, is owned by Second Life Software Consulting and licensed to cdanalytics.ai. Per the underlying Statement of Work, custom code is owned by cdanalytics.ai upon full payment; generic components are licensed perpetually and royalty-free.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the total fees you paid for the Service in the twelve months preceding the event giving rise to the claim. In no event will we be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold us harmless from any third-party claim arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) any acts taken in reliance on AI output without independent qualified review.

10. Termination

You may cancel your subscription at any time through the Stripe customer portal or by contacting us at info@secondlifesoftware.com. We may suspend or terminate your access for material breach of these Terms with written notice and a reasonable opportunity to cure where appropriate. Upon termination we will delete or return Customer Data within 30 days, except as required for legal, tax, or audit retention.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms
